Frequently asked
Do directors need to be UK residents to register a UK company?
+
No. A UK private limited company can be incorporated with entirely overseas directors. At least one named director must be a natural person, but there is no UK residency requirement. We handle the identity verification process for non-resident directors as part of the registration.
How long does Companies House take to incorporate the company?
+
Standard electronic incorporation typically completes in 24 hours when papers are in order. We allow five UK business days end-to-end to cover name reservation, director ID verification, share certificates and the first board minute.
Can I use the registered office as my trading address?
+
Yes â the registered office is a statutory contact address for Companies House and HMRC mail. You can list a separate trading address publicly, or use the registered office for both. Many clients pair our company registration with the Virtual Registered Office for a Mayfair or City of London address.
Can a non-resident set up a UK limited company?
+
Yes. A UK Ltd can be incorporated with 100% overseas directors and shareholders, of any nationality, without ever visiting the UK. The only strict requirements are a UK registered office address and remote identity verification for each director and PSC.
Do I need to visit the UK to form a company?
+
No. The entire process — name reservation, ID verification, Companies House filing, HMRC registration and fintech bank account opening — is completed remotely. Setupinuk handles the paperwork on your behalf.
Can I run a UK company while living overseas?
+
Yes. Many of our clients direct their UK companies entirely from abroad. The company must maintain a UK registered office and file annual accounts, a confirmation statement and corporation tax returns — services we run for you as part of ongoing compliance.
Do I need a UK bank account before incorporating?
+
No. You can incorporate first and open banking afterwards. For non-resident directors we usually route to UK-regulated fintech accounts (Wise Business, Revolut Business, Airwallex) which open in days without a UK residency requirement — full guide in our resources section.
Does forming a UK company give me a UK visa or right to live in the UK?
+
No. Company ownership confers no immigration status. Some visa routes (Innovator Founder, Global Talent) may involve a UK company as part of the application, but each has separate eligibility criteria. We do not provide immigration advice — speak to a UK immigration solicitor for visa questions.
What ID documents do I need as a non-resident director?
+
A valid passport and a recent proof of address (utility bill, bank statement or government letter, typically within 3 months). Documents in a non-Latin script or non-English language need certified translation into English. We manage the verification process end-to-end.
